ANNOUNCEMENT PURSUANT TO RECEIPT OF A PROPOSAL FROM UEM GROUP BERHAD TO CONSIDER PROPOSED MERGER OF UEM SUNRISE BERHAD ("UEMS") AND ECO WORLD DEVELOPMENT GROUP BERHAD ("ECOWLD") INTO AN ENLARGED GROUP ("PROPOSED MERGER") |

We refer to the announcement made by ECOWLD dated 5 October 2020 pertaining to the receipt of letter dated 2 October 2020 from UEM Group Berhad, proposing for the Board of ECOWLD to consider and deliberate on the Proposed Merger. The Proposed Merger is envisaged to be carried out via an exchange of shares and warrants held by ECOWLD’s shareholders and warrant holders into new shares and new warrants of UEMS respectively.
The Board of ECOWLD will convene in the near term to deliberate on the Proposed Merger and will make a further announcement thereafter.
We are closely monitoring the development of the above proposed corporate exercise and shall make further announcement in relation to the above in due course.
