INTRODUCTION

The Company wishes to announce that its indirect subsidiary, KPS Technology & Engineering LLC (“KPSTE”) had on 6 January 2022 evening received the confirmation from its agent, CT Corporation System, United States of America that Kansas Secretary of State had certified that KPSTE had been effectively dissolved on 17 August 2021 (“Dissolution”).

INFORMATION ON KPSTE

KPSTE was incorporated on 2 January 2008 as a Kansas Limited Liability Company with a paid-up share capital of USD1,500,000 and it has been dormant for more than 6 years.

RATIONALE

The Dissolution of KPSTE is part of the Company’s exercise to streamline KNM Group’s corporate structure and for administrative efficiency by dissolving the subsidiaries which are dormant.

FINANCIAL EFFECTS

The Dissolution will not have any material effect on the share capital and substantial shareholders’ shareholding of the Company, and the earnings and net assets per share of the Company for the financial year ending 31 December 2022.

DIRECTORS' AND/OR MAJOR SHAREHOLDERS' INTEREST

None of the Directors and/or major shareholders of KNM and/or person connected with them has any interest, direct or indirect, in the Dissolution. 

APPROVAL REQUIRED

The Dissolution is not subject to the approval of the shareholders of KNM.
