INTRODUCTION

The Company wishes to announce that its indirect subsidiary, KPF Technology Group LLC (“KPSTG”) had on 8 March 2022 received the confirmation from its agent, Dunn & Dill CPAs PC, United States of America that Texas Secretary of State had certified that KPSTG had been effectively dissolved on 22 February 2022 (“Dissolution”).

INFORMATION ON KPSTE

KPSTG was incorporated on 2 January 2013 as a Texas Ltd Liability Company with a paid-up capital of USD 2.00 and it has been dormant for more than 5 years.

RATIONALE

The Dissolution of KPSTG is part of the Company’s exercise to streamline KNM Group’s corporate structure and for administrative efficiency by dissolving the subsidiaries which are dormant.

FINANCIAL EFFECTS

The Dissolution will not have any material effect on the share capital and substantial shareholders’ shareholding of the Company, and the earnings and net assets per share of the Company for the financial year ending 31 December 2022.

DIRECTORS' AND/OR MAJOR SHAREHOLDERS' INTEREST

None of the Directors and/or major shareholders of KNM and/or person connected with them has any interest, direct or indirect, in the Dissolution. 

APPROVAL REQUIRED

The Dissolution is not subject to the approval of the shareholders of KNM.
