We refer to our announcement dated 29 September 2015 and 30 September 2015 in relation to the Proposed ESOS (“Announcements”).

All definitions used herein shall have the same meanings as the words and expressions defined in the Announcements, except where the context otherwise requires or where otherwise defined herein.

On behalf of the Board of Directors of Sedania, Kenanga IB wishes to announce that Bursa Malaysia Securities Berhad (“Bursa Securities”), vide its letter dated 2 October 2015, has resolved to approve the listing of such number of new ordinary shares of RM0.10 each, representing up to 30% of the issued and paid-up ordinary share capital of Sedania (excluding treasury shares), to be issued pursuant to the Proposed ESOS subject to the following:

1. Kenanga IB is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to Rule 6.44(1) of the ACE Market Listing Requirements (“LR”) and stating the effective date of implementation together with a certified true copy of the resolution passed by the shareholders in general meeting;
2. Sedania is required to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the Proposed ESOS, as at the end of each quarter together with a detailed computation of listing fees payable;
3. The ESOS Shares are subject to similar moratorium as imposed on Datuk Noor Azrin bin Mohd Noor (“Datuk Azrin”) by Bursa Securities pursuant to the Initial Public Offering of Sedania whereby Datuk Azrin must ensure that:

(i)      The moratorium applies to Datuk Azrin’s entire shareholdings for a period of six (6) months from the date of admission of Sedania to the ACE Market;

(ii)     Upon the expiry of the six (6) month period stated above, Sedania must ensure that Datuk Azrin’s aggregate shareholdings amounting to at least 3.66% of the Company’s nominal issued and paid-up share capital remain under moratorium for another period of six (6) months; and

(iii)     Thereafter, Datuk Azrin may sell, transfer or assign up to a maximum of 1/3 per annum (on a straight line basis) of the shares held under moratorium.

The following information on the ESOS Shares that are subject to the moratorium are to be submitted to Bursa Malaysia Depository Sdn Bhd for the Proposed ESOS:

(a) The name of the shareholder;

(b) The number of ESOS Shares; and

(c) The date of expiry of the moratorium.

Sedania is required to ensure full compliance of all the requirements pertaining to the Proposed ESOS as provided under the LR at all times.
