Dormant Company Companies in Malaysia

A dormant company is a company that is not carrying out any business or investment activities and has not generated any income for a period of two financial years. The company may have assets, but these are not being used for business purposes. In Malaysia, a company is considered dormant if it satisfies all of the following criteria:

-The company has not carried out any business or investment activities for a period of two financial years;
-The company has not generated any income during that period;
-The company’s assets are not being used for business purposes.

A dormant company is not required to file annual returns or financial statements with the Companies Commission of Malaysia (SSM). However, the company must still maintain its registered office and keep its statutory books up to date.

If a company becomes dormant, it is at risk of being struck off the register of companies. The company can avoid this by applying to SSM for a “dormant company” status. This will exempt the company from the requirement to file annual returns or financial statements.
