Dormant General Trading Companies in Malaysia

A dormant company is a company that is not carrying out any business or operations and has not done so for a period of time. The Companies Act 2016 defines a dormant company as a company that has not been carrying out any business or operations for a period of two financial years, and has not been holding any annual general meetings during that period.

A company may become dormant for a number of reasons, such as the death or retirement of the company’s directors, the company’s inability to pay its debts, or the company’s decision to cease operations.

A dormant company is still a legal entity and must comply with all the requirements of the Companies Act 2016, including the filing of annual returns and the holding of annual general meetings.

A dormant company can be revived by the directors carrying out business or operations, or by holding an annual general meeting.
