A dormant company is a company that has had no significant activity for a period of time. In Malaysia, a company is considered dormant if it has not carried out any business activity or operation for a period of two financial years. Once a company is classified as dormant, it will be removed from the Companies Commission of Malaysia’s (SSM) active register.

There are a number of reasons why a company may become dormant, such as the death of the owner, retirement, or simply because the business is no longer profitable. While a dormant company is not required to file annual returns or financial statements, it must still maintain its registered address and appoint at least one director.

A company may be revived at any time by carrying out business activities or operations. Once a company is revived, it will be required to file annual returns and financial statements as well as pay any outstanding taxes.
