Frozen Companies in Malaysia

Frozen companies in Malaysia are companies that have been deregistered by the Registrar of Companies (ROC) for failing to comply with the Companies Act 1965. These companies are not allowed to carry out any business activities and their assets are frozen.

The ROC may deregister a company if it has not been in operation for two years or more, or if it has failed to file its annual returns or audited financial statements for two consecutive years. Once a company is deregistered, its directors and shareholders lose their limited liability protection and the company's assets become subject to seizure.

Deregistered companies can be reinstated by the ROC if they can show that they have rectified the reasons for their deregistration and have paid the required fees. However, frozen companies are not allowed to be reinstated and their assets remain frozen indefinitely.
