Non Trading Companies in Malaysia

A non-trading company is a company that does not have any commercial or industrial activity. Non-trading companies are usually set up for holding investments, providing services or for other non-operational purposes.

In Malaysia, non-trading companies are governed by the Companies Act 1965. Under the Act, a non-trading company must have at least two shareholders and a maximum of fifty shareholders. The company must also have a paid-up capital of at least RM2,000.

A non-trading company cannot carry out any business activity except for the following:

- Holding investments
- Providing services
- Undertaking any activity that is incidental or conducive to the attainment of the company’s main objects

A non-trading company must also prepare financial statements and submit them to the Registrar of Companies annually.
