Real Property Holding Companies in Malaysia

A real property holding company is a company that owns, leases, or manages real property. In Malaysia, these companies are regulated by the Companies Commission of Malaysia (SSM).

There are two types of real property holding companies: private and public. Private companies are limited to fifty shareholders and cannot offer their shares to the public. Public companies, on the other hand, can have an unlimited number of shareholders and can offer their shares to the public.

To be registered as a real property holding company, the company must have at least RM2 million in paid-up capital. The company must also have a minimum of five directors, a company secretary, and an auditor.

The main activity of a real property holding company is to hold, lease, or manage real property. These companies are not allowed to engage in any other business activity.

The advantage of setting up a real property holding company is that it provides limited liability to the shareholders. This means that the shareholders are not personally liable for the debts of the company.

Another advantage of setting up a real property holding company is that it is easier to raise capital. This is because the company can offer its shares to the public.
