To Carry On All Or Any Companies in Malaysia

The Companies Act 2016 (Act 777) is the primary legislation governing company law in Malaysia. It came into force on 31 January 2017. The Act repealed and replaced the Companies Act 1965.

The Companies Act 2016 sets out the rules and regulations governing the incorporation, operation and dissolution of companies in Malaysia. The Act is divided into 11 parts, with each part dealing with a different aspect of company law.

The key changes introduced by the Companies Act 2016 include:

- Allowing companies to be incorporated with only one shareholder;

- Introducing a new corporate vehicle, the private company limited by guarantee;

- Enhancing the role of directors, including the introduction of a duty to act in the best interests of the company;

- Introducing new rules on related party transactions;

- Strengthening the regime for the regulation of public companies;

- Introducing new rules on corporate rescue; and

- Introducing new offences and penalties.
