To Carry On Business Of An Investment Holding Company Companies in Malaysia

The Companies Act 2016 (Act 777) came into effect on 31 January 2017 and replaced the Companies Act 1965. The Companies Commission of Malaysia (CCM) is the regulator for companies in Malaysia.

Under the Companies Act 2016, a company may be registered as a private company, public company, or foreign company. A private company is one which:

- has a share capital of not more than RM2.5 million; and
- is not a subsidiary of a public company.

A public company is one which:

- has a share capital of more than RM2.5 million; or
- is a subsidiary of a public company.

A foreign company is one which:

- is incorporated outside Malaysia; and
- carries on business in Malaysia.

The Companies Act 2016 sets out the requirements for registration of a company, including the minimum share capital requirements.

A company must have at least two shareholders and a minimum paid-up capital of RM1,000.
