To Carry On The Business As Restaurant Companies in Malaysia

Carrying on business as a restaurant company in Malaysia is subject to the Companies Act 2016 and the Business Licensing Regulations. All restaurant companies must be registered with the Companies Commission of Malaysia (SSM) and must obtain a business license from the relevant local authority.

Under the Companies Act 2016, a restaurant company must have at least 2 directors and a company secretary. The directors must be natural persons of at least 18 years of age and must be ordinarily resident in Malaysia. The company secretary must be a natural person or a body corporate and must be resident in Malaysia.

A restaurant company must also have a registered office in Malaysia. The registered office must be the place where the company keeps its books and records and where correspondence addressed to the company may be received.

The Business Licensing Regulations require all restaurant companies to obtain a business license from the relevant local authority. The business license must be renewed annually.

The business license must be displayed at the restaurant premises. The business license fee is RM50 per year.

The Business Licensing Regulations also require all restaurant companies to submit an annual return to the relevant local authority. The annual return must be submitted within 30 days of the anniversary of the company’s incorporation.
