To Carry On The Business Of Civil Companies in Malaysia

A civil company is a company that is formed for the purpose of carrying on business that is not for profit. In Malaysia, there are many civil companies that operate in various industries. Some of these companies are involved in the construction industry, while others may provide services such as accounting or legal services.

The Companies Act 1965 requires that all companies registered in Malaysia must have a registered address and a principal place of business in Malaysia. A company may carry on business in any state in Malaysia, but must appoint a representative in each state in which it carries on business.

A civil company must have at least two directors, a company secretary and a registered office. The directors of a civil company must be natural persons who are not less than 18 years of age and are ordinarily resident in Malaysia. The company secretary must be a natural person who is ordinarily resident in Malaysia.

A civil company may be wound up voluntarily or by the court. A civil company may be wound up voluntarily by its members if it has no debts or liabilities, or if its debts and liabilities do not exceed its assets. A civil company may also be wound up by the court if it is unable to pay its debts, or if it is just and equitable to do so.
