The Board of Directors of AMPROP wishes to announce that AMPROP has received confirmation from its solicitors in London that its indirect wholly-owned subsidiary, SNL Limited had entered into a Subscription and Shareholders' Agreement ("SSA") on 27 March 2015 with the following parties to regulate their participation in the joint venture company known as Bankside Quarter (Jersey) Limited ("Joint Venture") which is also a party to the SSA:
(i) Hubbard Investments Pte. Ltd., an indirect wholly-owned subsidiary of Temasek Holdings (Private) Limited;
(ii) HPL (Southbank) Pte. Ltd., a wholly-owned subsidiary of Hotel Properties Limited; and
(iii) Clan Bankside Quarter (Jersey) Limited, jointly controlled by Montrose Land & Development Limited and Tarras Park Properties Ltd., a wholly-owned subsidiary of Buccleuch Estates Limited; both Montrose Land & Development Limited and Buccleuch Estates Limited are shareholders of Native Land Limited.
