| The Warrants are issued for free to the following subscribers: (i) the renounceable rights issue of 15,475,725 Rights Shares on the basis of one (1) Warrant for every one (1) new Rights Shares subscribed for; and (ii) the placee of the placement of 5,000,000 Placement Shares, on the basis of one (1) Warrant for every one (1) new Placement Shares subscribed for. Each Warrant carries the entitlement to subscribe for one (1) new ordinary share of RM1.00 each in ARK at the exercise price which shall be satisfied in cash. The Warrants may be exercised at any time during the exercise period. Any Warrants not exercised during the exercise period will thereafter lapse and cease to be valid for any purpose.
