ARMADA - NOTICE OF RIGHTS ENTITLEMENT

LISTING'S CIRCULAR NO. L/Q : 71426 OF 2014

1) Renounceable rights issue of up to 1,479,238,150 new ordinary shares of RM0.20 each in Bumi Armada Berhad (Rights Shares), on the basis of one (1) Rights Share for every two (2) existing ordinary shares of RM0.20 each in Bumi Armada Berhad (Shares) held as at 5.00 p.m. on 12 September 2014 (Entitlement Date), at an issue price of RM1.35 per Rights Share (Rights Issue)

2) Bonus issue of up to 1,479,238,150 new ordinary shares of RM0.20 each in Bumi Armada Berhad (Bonus Shares) to be credited as fully paid-up, on the basis of one (1) Bonus Share for every two (2) existing ordinary shares of RM0.20 each in Bumi Armada Berhad (Shares) held as at 5.00 p.m. on 12 September 2014 (Entitlement Date) (Bonus Issue).

Kindly be advised of the following :

1) The above Company's securities will be traded and quoted [ "Ex - All" ]
as from : [ 10 September 2014 ]

2) The last date of lodgement : [ 12 September 2014 ]

3) Retention Money : Where securities are not delivered in time for registration by the seller, then the brokers concerned :-

a) Selling Broker to deduct [ 1/2 ] , of the Selling Price against the Selling Client.

b) Buying Broker to deduct [ 35% ] of the Purchase Price against the Buying Client.

c) Between Broker and Broker, the deduction of [ 1/2 ] of the Transacted Price is applicable.

Remarks :-


The Bonus Issue is conditional on the renounceable rights issue of up to 1,479,238,150 new Shares (Rights Shares) on the basis of one (1) Rights Share for every two (2) existing Shares held by the entitled shareholders of Bumi Armada Berhad, at an issue price of RM1.35 per Rights Share, on the Entitlement Date (Rights Issue).

The Bonus Shares will be listed and quoted simultaneously with the Rights Shares, on the Main Market of Bursa Malaysia Securities Berhad. The Bonus Issue will be completed at the same time as the Rights Issue. Entitled shareholders who do not subscribe for the Rights Shares will still be entitled to the Bonus Shares. However, the renouncees of the entitlements under the Rights Issue will not be entitled to the Bonus Shares.

For the avoidance of doubt, the Bonus Shares will not be listed/quoted on the next market day after the Entitlement Date. An announcement on the listing of and quotation for the Bonus Shares will be made in due course.
