The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement in relation to the Proposed Bonus Issue.

We refer to our earlier announcements dated 30 August 2018 and 10 October 2018.

On behalf of the Board of Directors of AZRB, UOB Kay Hian Securities (M) Sdn Bhd (“UOBKH”) wishes to announce that Bursa Securities had, vide its letter dated 17 October 2018, resolved to approve the following:

(i)   listing of and quotation for up to 79,840,322 Bonus Shares to be issued pursuant to the Proposed Bonus Issue;

(ii)  listing of and quotation for up to 12,911,738 additional Warrants to be issued from the adjustment to be made pursuant to the Proposed Bonus Issue; and

(iii) listing of and quotation for up to 12,911,738 new AZRB Shares to be issued arising from the exercise of the additional Warrants,

on the Main Market of Bursa Securities.

The approvals by Bursa Securities are subject to the following conditions:

(i)   AZRB and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Bonus Issue;

(ii)  AZRB and UOBKH are to inform Bursa Securities upon the completion of the Proposed Bonus Issue;

(iii) AZRB/UOBKH to furnish Bursa Securities with a certified true copy of the resolution passed by shareholders at the forthcoming general meeting for the Proposed Bonus Issue;

(iv) AZRB and UOBKH to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue is completed;

(v)  AZRB and UOBKH are required to make the relevant announcements pursuant to Paragraphs 6.35(2)(a)&(b) and 6.35(4) of the Main Market Listing Requirements;

(vi) The Bonus Shares and the additional Warrants must be listed simultaneously; and

(vii) To incorporate the comments made by Bursa Securities in respect of the draft circular to shareholders.
