ACQUISITION OF A TOTAL OF 100,000,000 ORDINARY SHARES IN METRONIC GLOBAL BERHAD ("MGB") ("ACQUISITION")

We refer to your Company’s announcement dated 23 February 2021, in respect of the aforesaid matter.

In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1.       The terms of any arrangement for payment on a deferred basis of the purchase consideration.

2.       The name of the vendor including the names of its directors and substantial shareholders together with their respective direct and/or indirect shareholdings.

3.       The net profits and net assets of MGB based on its latest audited financial statements.

4.       The contingent liabilities and guarantees to be assumed by the BCM Alliance Berhad (“BCM”), arising from the Acquisition.

5.       The rationale for the Acquisition including any benefit which is expected to accrue to the BCM from the business, financial and operational perspective.

6.       The prospects of the Acquisition.

7.       A statement on whether the Acquisition is subject to the relevant government authorities’ approval.

8.       A statement by the board of directors, stating whether the Acquisition is in the best interests of BCM.
