We refer to CIMBs Circular to Shareholders dated 24 March 2004 in which it was disclosed that a wholly-owned subsidiary of CIMB, CIMB Securities Sdn. Bhd. ("CIMBS") had, on the basis that CIMBS was an agent of Credit Lyonnais Securities (S) Pte Ltd ("CLSS"), been charged together with CLSS and CIMBS dealers representative named Ng Wai Hong ("NWH") on 11 December 1997 with the offence of short-selling under Section 41(1)(b) of the Securities Industry Act 1983 ("the Act"). On 22 June 1998, the charge against CIMBS was amended to an offence under Section 41(1)(a) of the Act.


CIMB wishes to announce that on 17 May 2004, the Sessions Court at Kuala Lumpur found each of CIMBS, CLSS and NWH guilty of an offence under the said Section 41 of the Act. The Court has fixed 20 May 2004 to hear the plea in mitigation by Counsel for CLSS, CIMBS and NWH, after which the Court will pronounce sentence according to law.

CIMBS is extremely disappointed with the decision and will appeal against it. The decision will have far-reaching implications for the Malaysian securities industry and the capital market at large particularly as regards to the extent to which licensed dealers and licensed dealers representatives have to ascertain, before shares are sold, whether the selling client has the requisite shares.

CIMBS is also extremely concerned about the implications the decision has on NWH, a member of staff.
