The Board of Directors of CSM Corporation Berhad ("CSM" or the "Company") has authorised Malaysian International Merchant Bankers Berhad ("MIMB") to release the following announcement :-
1.0 INTRODUCTION
1.1 Further to the announcements dated 31 December 2002, 10 January 2003 and 15 January 2003, the Board of Directors of CSM is pleased to announce that the Company had on 24 January 2003 entered into two conditional sale and purchase agreements ("SPAs") with Fairdex Consolidated Sdn Bhd ("Fairdex") and Berjaya Group Berhad ("BGB") respectively, to acquire in aggregate 2,725,000 ordinary shares of RM1.00 each in Speedy Video Distributors Sdn Bhd ("SVD") representing 100% equity interest in SVD for an aggregate purchase consideration of RM56,000,000 to be satisfied by the issuance of new shares in CSM ("Proposed SVD Acquisition").
