The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcement in relation to the Proposals.

We refer to the earlier announcement dated 18 May 2022 and 9 June 2022 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 25 July 2022, resolved to approve the following:-

i. Proposed Share Consolidation;

ii. Listing and quotation of up to 150,162,634 Consolidated Shares (assuming all outstanding Warrants are exercised and all remaining ESOS options are granted and exercised prior to the Proposed Share Consolidation);

iii. listing and quotation of up to 14,532,416 Consolidated Warrants arising from the adjustments pursuant to the Proposed Share Consolidated (assuming all the outstanding Warrants are not exercised prior to the Proposed Share Consolidation);

iv. listing and quotation of up to 52,556,921 Placement Shares to be issued pursuant to the Proposed Private Placement; and

v. listing and quotation of 11,800,000 Consideration Shares to be issued pursuant to the Proposed Acquisition.

The approval granted by Bursa Securities for the Proposals is subject to the following conditions:-

i. Fast Energy or UOBKH is required to make the relevant announcements pursuant to Rule 6.57(2)(ii) and (iii) of the ACE Market Listing Requirements ("Listing Requirements") for the Proposed Share Consolidation;

ii. Fast Energy and UOBKH must fully comply with the relevant provisions under the Listing Requirements pertaining to the implementation of the Proposals;

iii. Fast Energy and UOBKH are required to inform Bursa Securities upon the completion of the Proposals;

iv. Fast Energy is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposals are completed;

v. Compliance by Fast Energy with the public shareholding spread upon completion of the Proposals. In this connection, UOBKH is to furnish a schedule containing the information set out in Appendix 8E, Chapter 8 of the Listing Requirements to Bursa Securities, upon completion of the Proposals.

vi. Fast Energy is required to furnish Bursa Securities with a certified true copy of the resolution passed by the shareholders in the general meeting approving the Proposals.
