Unless otherwise defined in this announcement, all terms used herein shall have the same meaning as those defined in the previous announcements in relation to the Proposed Bonus Issue of Warrants.

On behalf of the Board, M&A Securities is pleased to announce that Bursa Securities had vide its letter dated 25 May 2021, resolved to approve the following:

1. Admission to the Official List and listing and quotation for up to 474,000,000 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and

2. Listing and quotation for up to 474,000,000 new Mestron Shares to be issued arising from exercise of the Warrants.

The approval granted by Bursa Securities for the Proposed Bonus Issue of Warrants is subject to the following conditions:

1. Mestron and M&A Securities must fully comply with the relevant provisions under the Listing Requirements pertaining to the Proposed Bonus Issue of Warrants;

2. Mestron and M&A Securities to inform Bursa Securities upon the completion of the Proposed Bonus Issue of Warrants;

3. Mestron to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue of Warrants is completed; and

4. Mestron to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.
