Unless otherwise defined, the definitions used in this announcement shall have the same meaning as those defined in the announcements made on 3 June 2021, 22 June 2021, 14 July 2021, 4 August 2021, 6 August 2021, 7 September 2021, 8 September 2021 (in respect of the circular to the shareholders dated 8 September 2021), 30 September 2021, 1 October 2021, 1 November 2021, 15 November 2021 and 16 November 2021 (in respect of the notice to the shareholders  in relation to the suspension of trading of MMC Shares and the Entitlement Date dated 16 November 2021) in relation to the SCR (“Announcements”).

We refer to the Announcements in relation to the SCR.

Pursuant to Paragraph 9.22(1) of the Listing Requirements, MMC is required to announce its quarterly results for the nine (9)-month financial period ended 30 September 2021 (“3Q2021 Results”) to Bursa Securities not later than 30 November 2021, being two (2) months after the end of each quarter of a financial year.

The Company is in the midst of implementing the SCR following the announcement dated 15 November 2021 in relation to the Entitlement Date. Upon the Lodgment on the Entitlement Date, STJSB will be the sole shareholder of the Company.

On 5 November 2021, RHB Investment Bank had, on behalf of the Company, submitted an application to seek the approval of Bursa Securities (“Waiver Application”) for a waiver from having to comply with the requirement of Paragraph 9.22(1) of the Listing Requirements for MMC to announce the 3Q2021 Results.

On behalf of the Company, RHB Investment Bank wishes to announce that Bursa Securities had vide its letter dated 18 November 2021 resolved to approve the Waiver Application, subject to the conditions that the fixing of the Entitlement Date and the Lodgment shall be completed prior to 30 November 2021.

As the Entitlement Date has been fixed on 29 November 2021 and the Lodgment will take place on the said date, the Company shall no longer be required to comply with Paragraph 9.22(1) of the Listing Requirements.

Further developments on the SCR will be announced by the Company in due course.
