We refer to the announcements dated 19 August 2015 and 7 September 2015 in relation to the Proposals (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 2 February 2016 approved the following:

(i) admission to the Official List and the listing of and quotation for up to 735,074,052 ICPS and up to 73,507,405 Warrants to be issued pursuant to the Proposed Rights Issue of ICPS with Warrants;

(ii) listing of and quotation for up to 735,074,052 new OCR Shares to be issued pursuant to the conversion of the ICPS; and

(iii) listing of and quotation for up to 73,507,405 new OCR Shares to be issued pursuant to the exercise of the Warrants.

The approval by Bursa Securities for the Proposed Rights Issue of ICPS with Warrants is  subject to the following conditions:

(i) OCR and TA Securities, being the principal adviser, must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Rights Issue of ICPS with Warrants;

(ii) OCR and TA Securities to inform Bursa Securities upon the completion of the Proposed Rights Issue of ICPS with Warrants;

(iii) OCR to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue of ICPS with Warrants is completed;

(iv) OCR to furnish Bursa Securities on a quarterly basis a summary of the total number of Shares listed pursuant to the conversion of the ICPS and/or exercise of the Warrants as at the end of each quarter together with a details computation of listing fees payable; and

(v) to incorporate comments from Bursa Securities in respect of the draft circular to shareholders.
