Reference is made to the announcement of the Company issued on 2 October 2015 in relation to a conditional Letter of Intent dated 22 September 2015 from Lay Hong Berhad (“LHB”) to consider acquiring from the Company, 200,000 ordinary shares of THB100 each in Takaso SC (Thailand) Limited ("TSC") (the “Sale Shares”) being the entire issued and paid-up share capital of TSC.

The Board of Directors of O&C Resources Berhad wishes to announce that the Company and its nominees, who held the Sale Shares in trust, had on 4 February 2016 entered into a Shares Sale Agreement with LHB for the disposal of the Sale Shares for a cash consideration of RM8,500,000.00.
