DISPOSAL OF THE ENTIRE ISSUED AND PAID-UP CAPITAL OF TAKASO TRADING SDN. BHD., A WHOLLY-OWNED SUBSIDIARY OF THE COMPANY

Pursuant to Paragraph 9.19(24) and 10.05 of the Main Market Listing Requirements of Bursa Malaysia Securities Berhad, the Board of Directors of O&C Resources Berhad (formerly known as Takaso Resources Berhad) wishes to announce that the Company had today 31 December 2015 entered into a Shares Sale Agreement with Yap Kien Ming and Chin Qwee Ling to dispose its entire shareholding of 1,000,000 ordinary shares of RM1.00 each in its wholly-owned subsidiary, Takaso Trading Sdn Bhd (“TTSB”) for a total cash consideration of RM50,000.00 (the "Disposal") and TTSB has therefore ceased to be a subsidiary of the Company.
