On behalf of the Board of Directors of OSK, Arab-Malaysian Merchant Bank Berhad ( Arab-Malaysian ) is pleased to announce the following entitlement dates to the holders of the existing 1994/2004 Warrants A of the Company:
TO HOLDERS OF OSKS WARRANTS A WHO WISH TO PARTICIPATE IN THE BONUS ISSUE AND RIGHTS ISSUES OF ICULS AND RUB WITH NEW WARRANT B
NOTICE IS HEREBY GIVEN that holders of OSKs 1994/2004 Warrants A ( Warrant A holders ) shall qualify for entitlement to the Bonus Issue and Rights Issues if their Subscription Forms together with the subscription monies of RM2.03 for every one (1) new ordinary share of RM1.00 each in OSK ( New Share ) are received by OSKs Registrar namely Signet & Co. Sdn Bhd, 21 & 23, Jalan Hussein (Ground Floor), 30250 Ipoh, Perak Darul Ridzuan, Malaysia not later than 5.00 p.m. on 27 December 1999.
Warrant A holders exercising their subscription rights must ensure that their Subscription Forms (which can be obtained at the Registrars office) and subscription monies reach OSKs Registrar, Signet & Co. Sdn Bhd, 21 & 23, Jalan Hussein (Ground Floor), 30250 Ipoh, Perak Darul Ridzuan, Malaysia latest by 5.00 p.m. on 27 December 1999, failing which, the New Shares arising from the exercise of the Warrants A will not be entitled to the Rights Issues of ICULS and RUB with Warrants B.
TO HOLDERS OF OSKS 1994/2004 WARRANTS WHO DO NOT WISH TO PARTICIPATE IN THE BONUS ISSUE AND RIGHTS ISSUES OF ICULS AND RUB WITH NEW WARRANT B
NOTICE IS HEREBY GIVEN that consequential to the Bonus Issue and Rights Issues of ICULS and RUB with Warrants B, holders of OSKs 1994/2004 Warrants A ( Warrant A holders ) whose names appear in OSK Register of Warrantholders ( 1994/2004 Warrants A ) as at 5.00 p.m. on 27 December 1999 shall be entitled to additional 1994/2004 Warrants A and adjustment to the existing exercise price in accordance with the Deed Poll and Supplemental Deed Poll governing the Warrants A.
The adjustment to the exercise price and number of additional Warrants A are dependent on, inter-alia, the total number of ordinary shares of RM1.00 each ( Shares ) in the share capital of the Company, the total number of existing Warrants A of the Company and the aggregate amount of new securities to be issued pursuant to the Bonus Issue and Rights Issues of ICULS and RUB with Warrants B as at the entitlement date on 27 December 1999 ( Entitlement Date ).
Based on the quantum as at 30 September 1999 and assuming that the existing quantum remain on the Entitlement Date, the adjustments would entitle every one (1) existing Warrant A to be entitled to approximately 0.33 Warrants A whilst the exercise price of RM2.03 would be adjusted to approximately RM1.55. The actual adjustments to the exercise price and number of additional Warrants A to be issued will only be determined on the Entitlement Date of 27 December 1999.
A depositor shall qualify for entitlement to the additional 1994/2004 Warrants A in respect of the following:
(a) Warrants A transferred into the Depositors Securities Account on or before 12.30 p.m. on 23 December 1999 in respect of Warrants A which are exempted from mandatory deposit;
(b) Warrants A transferred into the Depositors Securities Account on or before 12.30 p.m. on 27 December 1999 in respect of ordinary transfer; and
(c) Warrants bought on the Kuala Lumpur Stock Exchange on a cum entitlement basis in accordance with the rules of the KLSE.
