We refer to your letter dated 24 November 1999 pertaining to the above matter.


In tandem with the Government's call for the consolidation of the stockbroking industry, the OSK Group has held discussions with various stockbroking companies. Those companies include, amongst others, TCL Premier Holdings Berhad ("TCL"), Ke-Zan Securities Sdn Bhd ("KSB"), Premier Capital Securities Sdn Bhd ("PCB") and Peninsular Securities Sdn Bhd ("PSB"). As per our announcement dated 17 November 1999, the OSK Group has proposed to acquire 31.4% of the equity in TCL and to implement a voluntary general offer for the remaining 68.6% of the equity in TCL.

With regard to our discussions held with KSB, PCB and PSB, we wish to inform that as at todate, we have not entered into any formal agreement for the acquisition and/or merger of the aforesaid companies. Should we enter into any such agreement in the future, an announcement will be duly made to the Exchange.
