(I) PROPOSED ACQUISITION;
(II) PROPOSED RIGHTS ISSUE;
(III) PROPOSED DIVERSIFICATION; AND
(IV) PROPOSED AMENDMENTS

(COLLECTIVELY REFERRED TO AS THE "PROPOSALS")

We refer to the announcements dated 9 September 2020 and 9 October 2020 in relation to the Proposals. The terms used herein shall, unless the context otherwise states, have the same meaning as those defined in the previous announcements, where applicable.

 

On behalf of the Board, UOBKH wishes to announce that Bursa Securities has, vide its letter dated 30 October 2020, resolved to approve the following:-

  1. admission to the Official List and listing and quotation of up to 346,500,000 RCPS to be issued pursuant to the Proposed Rights Issue; and
  2. listing and quotation of up to 346,500,000 Pansar Shares to be issued pursuant to the conversion of the RCPS.

The approval granted by Bursa Securities for the Proposed Rights Issue is subject to the following conditions:-

  1. Pansar and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements pertaining to the implementation of the Proposed Rights Issue;
  2. Pansar and UOBKH to inform Bursa Securities upon the completion of the Proposed Rights Issue;
  3. Pansar to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Rights Issue is completed; and
  4. Pansar to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the conversion of the RCPS as at the end of each quarter together with a detailed computation of listing fees payable.
