(V) DEBT SETTLEMENT; AND
(VI) PRIVATE PLACEMENT

(COLLECTIVELY REFERRED TO AS "REGULARISATION PLAN" OR "PROPOSALS")

Reference is made to the announcements dated 15 December 2015, 18 March 2016, 26 July 2016, 25 October 2016, 3 November 2016, 11 November 2016, 16 March 2017, 3 August 2017, 5 September 2017, 14 September 2017, 9 October 2017, 13 October 2017, 23 November 2017, 5 December 2017, 13 December 2017, 28 December 2017 and 29 December 2017 in relation to the Proposals. Unless otherwise defined, the definitions set out in the earlier announcements in relation to the Proposals shall apply herein.

On behalf of Parlo, TA Securities wishes to announce that the Board has fixed the issue price for the private placement of 84,007,600 Placement Shares at RM0.10 each (“Issue Price”) on 5 January 2018.

The trading of the existing Parlo Shares on the ACE Market of Bursa Securities has been suspended with effect from 28 January 2016 and will continue to be suspended up to the completion of the Regularisation Plan.

For illustrative purposes only, the last transacted price of the ordinary shares of Parlo on 27 January 2016, being the last day of trading of the said shares prior to the suspension on 28 January 2016 was RM0.005. With the completion of the Share Consolidation on 29 December 2017, the reference market price of the ordinary shares of Parlo was adjusted to RM0.05.

Premised on the above, the Issue Price represents a premium of RM0.05 or approximately 100% to the reference price after the Share Consolidation of RM0.05.
