The Board of Directors of PESTECH International Berhad (“PIB” or “the Company”) had on 14 July 2021, received a notification from Mr. Lim Pay Chuan (“ Mr. Lim”) pursuant to Sections 219 and 137 of the Companies Act 2016, that he had exercised a dealing pursuant to the Master Share Sale and Repurchase Agreement (“the Agreement”) with Equities First Holdings LLC (“EFH”), whereas Mr. Lim sold and has the right to repurchase 8,800,000 ordinary shares (“Shares”) held in PIB at a pre-agreed price from the latter at the maturity date and upon such terms and conditions as stipulated in the Agreement.

As at the date of entry into the Agreement, and prior to the transaction, Mr. Lim retains an interest of 153,985,096 (20.230%) shares through his direct interest and 1,306,064 (0.172%) shares through his indirect interest.

The terms of the Agreement shall be three (3) years from the closing date as prescribed in the Agreement.
