The Board of Directors of RCE Capital Berhad (formerly known as Rediffusion Berhad) ["RCE" or "the Company"] wishes to announce that a subsidiary company of the Company, RCE Marketing Sdn Bhd has on 7 May 2004 acquired the entire issued and paid-up share capital of Pintar Utara (M) Sdn Bhd ("PUSB") comprising two (2) ordinary shares of RM1.00 each from the subscribers for a total cash consideration of RM2.00.
PUSB was incorporated in Malaysia on 27th March 2004 as a private limited company. Presently, PUSB has an authorised capital of RM100,000.00 divided into 100,000 ordinary shares of RM1.00 each of which two (2) ordinary shares have been fully paid-up. PUSB has yet to commence business.
The acquisition of PUSB will not have any material effect on the earnings per share, net tangible assets per share, share capital and substantial shareholders shareholding of the Company.
None of the directors or major shareholders of the Company or persons connected with them has any interest, direct or indirect, in the acquisition.
