Reference is made to the announcement of 08 September 2010 with regard to the afore-mentioned matter and the announcement by Maybank Investment Bank Berhad of 12 November 2010 to Bank Negara Malaysia.

The Board of Directors of RGB International Bhd. (formerly known as Dreamgate Corporation Bhd.) (RGBI or the Company) wishes to inform that the Company:
" had received, vide a notification from Malaysian Trustee Berhad as Trustee for the Notes on 11 November 2010, approval from all Noteholders of the Notes to the Proposed Disposal of Chateau and other variations to the terms of the Trust Deed of 18 June 2007 subject to the Company issuing a third party Debenture covering the fixed and floating assets on all present and future assets of RGB Ltd., a wholly owned subsidiary of the Company incorporated in the Federal Territory of Labuan as security for the Notes (the Condition).
" has accepted the Condition imposed by the Noteholders.

Upon finalization of the Proposed Disposal of Chateau, RGBI undertakes to release a detailed announcement pursuant to Chapter 10 of the Main Market Listing Requirements in due course.
