- PROPOSED ACQUISITION OF PROPERTY BY SCC CORPORATION SDN. BHD. FROM MCDOTA (M) SDN. BHD. FOR A TOTAL CASH CONSIDERATION OF RM1,500,000.00 ("PROPOSED ACQUISITION")

We refer to your Company’s announcement dated 5 July 2021, in respect of the aforesaid matter.
In this connection, kindly furnish Bursa Securities with the following additional information for public release:-

1) The names of the Vendor’s directors and substantial shareholders together with their respective direct and/or indirect shareholdings.
2) The following information in relation to the Property:

• net book value based on latest audited financial statements;
• proposed use by the Purchaser or SCC Holdings Berhad (“SCC”);
• quantification of the market value;
• encumbrances, if any;  
• amount of lettable space, the amount of lettable space available for letting and the occupancy, and the percentage of occupancy; and
• the original cost of investment to the Vendor and the date of such investment.

3) The prospects of the Property.
4) The direct and indirect shareholdings of Chee Long Sing @ Cher Hwee Seng in SCC.
5) A statement by the board of directors of SCC, excluding interested directors, stating whether the Proposed Acquisition is in the best interests of SCC.

6) The estimated time frame to complete the Proposed Acquisition.
7) The particulars of all liabilities, including contingent liabilities and guarantees, to be assumed by SCC and/or the Purchaser arising from the Proposed Acquisition.
8) A statement by the audit committee of SCC as required under item 3 of Appendix 10C of the ACE Market Listing Requirements.
9) The total amount transacted with the same related party for the preceding 12 months.
