Circumstances by reason of which Securities Holder has interest 
Hanton Capital Limited ("HCL") has on 18 October 2018 entered into a Share Sale and Purchase Agreement with Tan Sri Dato' Surin Upatkoon ("TSDU") on the acquisition of 99.99% shareholding interest in Pinjaya Sdn Bhd ("Pinjaya"), of which Pinjaya is the substantial shareholder of MWE Holdings Berhad ("MWE") and which in turn, MWE is a substantial shareholder of WCE Holdings Berhad ("WCE"), of which in turn, WCE is a substantial shareholder of Talam Transform Berhad ("TTB").

By virtue of Section 8 (4) of the Companies Act 2016 ("the Act"), HCL is deemed to have an indirect interest in these TTB shares held through Pinjaya.

Cedar Holdings Limited is deemed to have indirect interest in these TTB shares by virtue of the Act held through HCL.
