(1) Acquisition of 400,000,000 ordinary shares in Talam Transform Berhad via direct business transaction following the completion of the Second Tranche Sale Shares pursuant to the Share Sale Agreement dated 17 October 2014 ("SSA") between Tan Sri Dato' (Dr) Ir Chan Ah Chye @ Chan Chong Yoon ("TSDCAC") and WCE Holdings Berhad (formerly known as Kumpulan Europlus Berhad) ["WCEHB"] and Supplemental Agreement to SSA dated 28 August 2015 ("SA").

(2) Cessation of deemed interest in 400,000,000 ordinary shares in Talam Transform Berhad ("TTB Shares") after the disposal of the 400,000,000 TTB Shares by WCEHB to TSDCAC following the completion of the Second Tranche Sale Shares pursuant to the SSA and SA.
