Description | TALAM TRANSFORM BERHAD ("TTB" or "the Company") PROPOSED DISPOSAL OF 622 PIECES OF VACANT LEASEHOLD LAND MEASURING A TOTAL OF APPROXIMATELY 90,559.08 SQUARE METER BY TALAM LEISURE DEVELOPMENT SDN BHD, A WHOLLY-OWNED SUBSIDIARY OF TTB TO XTRA TOUCH SDN BHD ("PROPOSED DISPOSAL") |
Further to the Company’s announcement made on 29 April 2016, we wish to inform that its wholly-owned subsidiary, Talam Leisure Development Sdn Bhd (“TLDSB”) has on 28 July 2016 entered into a Supplemental Sale and Purchase Agreement (“Supplemental Agreement”) with Xtra Touch Sdn Bhd (“XTSB”) to vary the manner of payment of the balance of the Purchase Price of RM69,000,000.00 only as provided in Section 4.1 of the Sale and Purchase Agreement dated 29 April 2016 made between TLDSB and XTSB. The variations are in the terms and conditions as follows:-
a. Ringgit Malaysia Thirty Seven Million (RM37,000,000.00) only shall be paid on or before 31st December 2016 (hereinafter referred to as “First Completion Date”) to be paid directly to the Vendor’s Financier towards payment of the Redemption Sum. The Vendor shall release 382 lots of the terrace house titles to the Purchaser upon the First Completion Date; and
b. Ringgit Malaysia Two Million (RM2,000,000.00) only to be paid to the Vendor within Eighteen (18) months from the date of this Supplemental Agreement ); and
c. Ringgit Malaysia Two Million (RM 2,000,000.00) only to be paid to the Vendor within Thirty (30) months from the date of this Supplemental Agreement; and
d. Ringgit Malaysia Fourteen Million (RM14,000,000.00) only in the form of completed saleable built up area of 35,000 square feet of Phase 1 apartments value at RM400 per square foot to be commenced and allocated within Forty Eight (48) months from the date of this Supplemental Agreement and to be completed and delivered to the Vendor within Three (3) years from the date of commencement (hereinafter referred to as “Second Completion Date”) and the Vendor shall release the Phase 1 apartments title to the Purchaser upon the Second Completion Date; and
e. Ringgit Malaysia Fourteen Million (RM14,000,000.00) only in the form of 35,000 square feet of Phase 2 apartments value at RM400 per square foot to be commenced and allocated within Seventy Two (72) months from the date of this Supplemental Agreement and to be completed and delivered to the Vendor within Three (3) years from the date of commencement (hereinafter referred to as “Third Completion Date”) and the Vendor shall release the Phase 2 apartments title to the Purchaser upon the Third Completion Date.
The variance is not expected to have any material financial effects to TTB Group.
The Supplemental Agreement is available for inspection at the registered office of the Company at Suite 2.12, Level 2, Menara Maxisegar, Jalan Pandan Indah 4/2, Pandan Indah, 55100 Kuala Lumpur between 9.00 a.m. and 5.00 p.m. from Monday to Friday (except public holidays) for a period of three (3) months from the date of this announcement.
