TCS GROUP HOLDINGS BERHAD ("TCS") ISSUANCE OF 180,000,000 FREE WARRANTS IN TCS ("WARRANTS") ON THE BASIS OF ONE WARRANT FOR EVERY TWO EXISTING ORDINARY SHARES IN TCS ("TCS SHARES") HELD AT 5.00 P.M. ON 11 MARCH 2021
Each Warrant entitles the holders of the Warrant to subscribe for one new TCS Share at any time during the period commencing on and including 16 March 2021 (being the date of issuance of the Warrants) and ending on the close of business at 5.00 p.m. on 15 March 2024 (if not a market day, the immediately preceding market day, being the expiry of the tenure of the Warrants) ("Exercise Period") at the exercise price of RM0.38 per TCS Share, subject to adjustments in accordance with the provisions of the deed poll dated 25 February 2021 constituting the Warrants. Any Warrants not exercised during the Exercise Period will thereafter lapse and cease to be valid. This announcement is dated 19 March 2021.
