The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposals.

We refer to the earlier announcements dated 10 May 2022 and 24 May 2022 in relation to the Proposals.

On behalf of the Board, UOBKH wishes to announce that Bursa Securities had, vide its letter dated 8 June 2022, resolved to approve the listing and quotation of 10,507,881 Consideration Shares to be issued pursuant to the Proposed Acquisition.

The approval granted by Bursa Securities for the Proposals is subject to the following conditions:-

i. XHH and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements ("Listing Requirements") pertaining to the implementation of the Proposed Acquisition;

ii. XHH is required to furnish Bursa Securities with a certified true copy of the resolutions passed by the shareholders at the extraordinary general meeting approving the Proposals;

iii. XHH and UOBKH are required to inform Bursa Securities upon the completion of the Proposals; and

iv. XHH is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities' approval once the Proposals are completed.
