The terms used herein, unless the context otherwise stated, bear the same meaning as those defined in the earlier announcements in relation to the Proposed ESOS.

We refer to the earlier announcements dated 5 April 2021 and 7 May 2021 in relation to the Proposed ESOS.

On behalf of the Board, UOBKH wishes to announce that Bursa Malaysia Securities Berhad ("Bursa Securities") had, vide its letter dated 19 May 2021, resolved to approve the listing and quotation of such number of new XHH shares, representing up to 15% of the total number of issued shares of XHH, to be issued pursuant to the Proposed ESOS, subject to the following conditions:-

1. XHH and UOBKH must fully comply with the relevant provisions under the Main Market Listing Requirements ("Listing Requirements") pertaining to the implementation of the Proposed ESOS;
2. XHH is required to furnish Bursa Securities with certified true copy of the resolution passed by the shareholders at the extraordinary general meeting approving the Proposed ESOS;
3. XHH and UOBKH are required to inform Bursa Securities upon completion of the Proposed ESOS;
4. XHH is required to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed ESOS is completed;
5. XHH is required to submit a confirmation to Bursa Securities of full compliance of the Proposed ESOS pursuant to paragraph 6.43(1) of the Listing Requirements and stating the effective date of implementation; and
6. Payment of additional listing fees pertaining to the exercise of ESOS options, if relevant. In this respect, XHH is required to furnish Bursa Securities on a quarterly basis a summary of the total number of new shares listed pursuant to the exercise of ESOS options as at the end of each quarter together with a detailed computation of the listing fees payable.
