We refer to the Company’s announcements dated 7 May 2021 and 18 May 2021 in relation to the Proposed SCR. Unless otherwise stated, all terms used herein shall have the same meaning as defined in the said announcements.

On behalf of the Board, RHB Investment Bank Berhad wishes to announce that the Board (save for the Interested Directors) has deliberated on the content of the SCR Offer Letter and has resolved to table the Proposed SCR based on the terms of the SCR Offer Letter to all the shareholders of AMPROP (other than the Non-Entitled Shareholders and persons acting in concert with them in accordance with Sections 216(2) and 216(3) of the Capital Markets and Services Act 2007) for their consideration and approval.

In this regard, in accordance with the terms of the SCR Offer Letter, the Board (save for the Interested Directors) has also resolved to invoke the Company’s right to mandatorily convert all the remaining outstanding Class B redeemable convertible preference shares issued by the Company into new fully-paid ordinary shares in AMPROP (“Mandatory RCPS B Conversion”) and to complete the Mandatory RCPS B Conversion before the Company’s extraordinary general meeting in relation to the Proposed SCR is convened.
