We refer to the announcements dated 19 March 2018, 26 March 2018 and 11 April 2018 in relation to the Proposals (“Announcements”). Unless otherwise stated, the terms used herein shall have the same meaning as defined in the Announcements.

On behalf of the Board, TA Securities wishes to announce that Bursa Securities had, vide its letter dated 2 May 2018, approved the following:

i) Listing and quotation for 48,750,000 Bonus Shares pursuant to Proposed Bonus Issue of Shares;

ii) Admission to the Official List and listing and quotation of 65,000,000 Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants; and

iii) Listing and quotation of up to 65,000,000 new Cabnet shares to be issued arising from the exercise of the Warrants.

The approval granted by Bursa Securities for the Proposed Bonus Issue of Shares and Proposed Bonus Issue of Warrants is subject to the following conditions:-

i) Cabnet and TA Securities must fully comply with the relevant provisions under the ACE Market Listing Requirements (“ACE LR”) pertaining to the implementation of the Proposed Bonus Issue of Shares and Proposed Bonus Issue of Warrants.

ii) Cabnet and TA Securities to inform Bursa Securities upon the completion of the Proposed Bonus Issue of Shares and Proposed Bonus Issue of Warrants.

iii) Cabnet to furnish Bursa Securities with a written confirmation of its compliance with the terms and conditions of Bursa Securities’ approval once the Proposed Bonus Issue of Shares and Proposed Bonus Issue of Warrants are completed.

iv) The Bonus Shares and Warrants to be issued to the promoters whose shareholdings are currently under moratorium shall also be subject to a similar moratorium.

v) Cabnet and TA Securities are required to make the relevant announcements for the Proposed Bonus Issue of Shares pursuant to Rule 6.36(2)(a)&(b) and 6.36(4) of the ACE LR.

vi) Cabnet to furnish Bursa Securities on a quarterly basis a summary of the total number of shares listed pursuant to the exercise of Warrants as at the end of each quarter together with a detailed computation of listing fees payable.

The admission and listing and quotation of the Warrants to be issued pursuant to the Proposed Bonus Issue of Warrants will take place two (2) market days after the receipt of the application for quotation of Warrants by Bursa Securities as specified under Part C of Annexure Guidance Notes (“GN”) 17-B together with the following supporting documents:-

i) A certified true copy of the resolution passed by shareholders at the extraordinary general meeting for the Proposed Bonus Issue of Shares and Proposed Bonus Issue of Warrants.

ii) Information on the actual issue size, issue date and expiry date of the Warrants.

iii) An undertaking from Cabnet that an announcement on the profile of the Warrants will be made via Bursa Link – Instrument Profile prior to the listing and quotation of the Warrants. Cabnet or TA Securities must also make an announcement on any subsequent revisions or amendments to the profile of the Warrants (including any revisions arising from adjustments).

iv) Letter of compliance in relation to the Deed Poll pursuant to Rule 2.12 of the ACE LR together with a copy of the duly executed Deed Poll.

In the event the new ordinary shares to be issued pursuant to the exercise of the Warrants will be listed and quoted as the existing securities of the same class, quotation of the new ordinary shares will commence on the next market day after the following:-

i) Submission of the share certificate together with a covering letter containing the summary of the exercise of Warrants to Bursa Malaysia Depository Sdn Bhd (“Bursa Depository”) before 10.00 a.m. on the market day prior to the listing date;

ii) Receipt of confirmation from Bursa Depository that the additional new shares are ready for crediting into the securities accounts of the respective account holders; and

iii) An announcement in accordance to Rule 12.2 of GN17 is submitted via Bursa Link before 3.00 p.m. on the market day prior to the listing date.

In the event the new ordinary shares to be issued pursuant to the exercise of Warrants will be separately quoted from the existing securities i.e. “A” shares, the listing and quotation of the new ordinary shares will take place two (2) market days upon the receipt of an application for quotation by Bursa Securities as specified under Part C of GN17-B.

Cabnet is required to ensure full compliance of all the requirements as provided under the ACE LR at all times.

In relation to the circular to shareholders on the Proposals, Cabnet is required to incorporate Bursa Securities' comments made in the circular to shareholders.
