1. INTRODUCTION

We refer to the previous announcements made in relation to the Private Placement (“Announcements”), including the announcement made on 8 June 2021. For consistency purposes, the abbreviations used in this announcement are the same as those previously defined in the Announcements unless otherwise defined herein.

On behalf of the Board, Mercury Securities wishes to announce that the Company and Macquarie Bank had on 1 July 2021 entered into a supplemental subscription agreement (“Supplemental Agreement”) to reduce the subscription amount under the Tranche 2 Placement Shares from up to 65,000,000 Placement Shares to up to 20,000,000 Placement Shares, and accordingly reduce the Subscription Total from up to 130,000,000 Placement Shares to up to 85,000,000 Placement Shares.

For avoidance of doubt, save as disclosed above, all other terms and conditions of the Subscription Agreement shall continue to remain in full force and effect.

2. DOCUMENT AVAILABLE FOR INSPECTION

A copy of the Supplemental Agreement is available for inspection during normal office hours at the registered office of the Company at 12th Floor, Menara Symphony, No. 5, Jalan Prof. Khoo Kay Kim, Seksyen 13, 46200 Petaling Jaya, Selangor Darul Ehsan from Mondays to Fridays (except public holidays) for a period of 3 months from the date of this announcement.
