PRIVATE PLACEMENT OF UP TO 142,093,116 NEW ORDINARY SHARES OF MPAY ("MPAY SHARE(S)" OR "SHARE(S)") REPRESENTING APPROXIMATELY 20% OF THE TOTAL NUMBER OF ISSUED SHARES OF MPAY ("PRIVATE PLACEMENT")

We refer to the Company’s announcements dated 30 July 2020, 10 August 2020, 10 September 2020, 18 September 2020, 14 December 2020, 3 March 2021, 11 March 2021 and 12 March 2021 in relation to the Private Placement (“Announcements”). For consistency purposes, the definitions set out in the Announcements shall apply herein unless otherwise defined.

 

The Board of Directors of the Company wishes to announce that, by mutual agreement, Kenanga IB will no longer be the Adviser and Placement Agent for the Private Placement with effect from 8 June 2021. 

 

In replacement thereof, MPay has appointed Mercury Securities Sdn Bhd as the new Adviser and Placement Agent for the Private Placement.

 

Notwithstanding the above, subject to compliance with the ACE Market Listing Requirements of Bursa Securities, MPay shall endeavour to implement and complete the Private Placement latest by 17 September 2021, being the deadline of extension of time of 6 months granted by Bursa Securities on 10 March 2021 to MPay.

 

MPay will provide updates from time to time in respect of the progress of the Private Placement.
