PRIVATE PLACEMENT OF UP TO 142,093,116 NEW ORDINARY SHARES OF MPAY REPRESENTING APPROXIMATELY 20% OF THE TOTAL NUMBER OF ISSUED SHARES OF MPAY ("PRIVATE PLACEMENT")

We refer to the announcements made on 30 July 2020, 10 August 2020, 10 September 2020, 18 September 2020, 14 December 2020, 3 March 2021, 11 March 2021, 12 March 2021 and 8 June 2021 in relation to the Private Placement (“Announcements”). For consistency purposes, the definitions set out in the Announcements shall apply herein unless otherwise defined.

On behalf of the Board of MPay, Mercury Securities Sdn Bhd wishes to announce that the Company entered into a conditional share subscription agreement (“Subscription Agreement”) with Macquarie Bank Limited (“Macquarie Bank”) for the subscription of up to 130,000,000 Placement Shares by Macquarie Bank in accordance with the terms and conditions of the Subscription Agreement.
