Reference is made to the Company’s announcements on 5 November 2019, 2 December 2019, 2 January 2020, 3 February 2020, 2 March 2020, 1 April 2020, 4 May 2020, 1 June 2020, 1 July 2020, 3 August 2020, 1 September 2020, 1 October 2020, 2 November 2020 and 1 December 2020 in compliance with GN3 of the Listing Requirements (“Announcements”). Unless otherwise defined, the definitions set out in the Announcements shall apply herein.

Further to the Company’s announcement on 30 November 2020 in respect of the resignation of the Company’s Sponsor, TA Securities Holdings Berhad, effective 1 December 2020, the Company had on 30 November 2020, submitted an application for an extension of time of up to four (4) months to appoint a replacement Sponsor, and for Bursa Securities Malaysia Berhad (“Bursa”) to grant the Company up to 30 June 2021 to submit its proposed regularisation plan. Further announcements in this respect shall be made upon Bursa reverting with a decision on these said applications. The Company is in the midst of sourcing for a replacement Sponsor.

The Company had on 23 December 2020 with the assistance of Sierac Corporate Advisers Sdn Bhd, submitted a draft circular to Bursa on the Company’s Proposed Ratification of Diversification of the existing business of Wintoni and its subsidiaries into Trading and ICT Business (“Proposed Ratification”), and is currently awaiting Bursa’s feedback and response on the said Proposed Ratification.

Safe for the above, the Board wishes to inform that there is no material development on the regularisation plan and the GN3 status of the Company. The Board is currently in the midst of evaluating options available to formulate a plan to regularise its financial condition.
