The Board of Directors of the Company wishes to announce that the Company was served with a sealed Originating Summons on 10 September 2015 bearing case No: 24-NCC-327-09/2015 together with a Notice of Application by Kang Choon Leu @ Kang Chee Sim (the “Plaintiff”) where the Plaintiff had named the Company and 8 former directors as Defendants.

The Plaintiff is seeking an injunction pending full and final disposal of the Originating Summons in the following transactions:-

1. the acquisition of 234,000 ordinary shares in Syscomp Technology Sdn Bhd pursuant to a share sale agreement dated 22 June 2015;
2. the disposal of Shanghai Winner Electrical Co Ltd and Shanghai Winco Electrical Co Ltd pursuant to two (2) separate ownership transfer agreements dated 21 August 2015; and
3. the disposal of Wintoni Power Sdn Bhd pursuant to a share sale agreement dated 27 August 2015.

The Plaintiff has also sought various final remedies, including a declaration that the disposal of Shanghai Winner Electrical Co Ltd, Shanghai Winco Electrical Co Ltd and Wintoni Power Sdn Bhd is void pursuant to Section 132C of the Companies Act.

At this juncture, the Company is unable to determine the impact of this Originating Summons on the financial position of the Company as no damages is sought by the Plaintiff.

The Company has instructed solicitors to dispute the Originating Summons.
