Reference is made to the announcement dated 2 May 2017 and 3 October 2017.

The Liquidator of Wintoni Group Berhad (In Liquidation) ("Company") wishes to announce that pursuant to the Rule 63 of Companies (Winding Up) Rules 1972, the Liquidators appointed by the Court shall be officers of the Court and the Liquidator may exercise his power under the Section 486 of the Companies Act 2016, which primarily entails realizing of assets and settlement of liabilities.

Pursuant to Section 514 of Companies Act 2016, the Liquidator is responsible to prepare for the statement of receipts and payments of the Company for the period of six months from the date of the Liquidator’s appointment and of every subsequent period of six months.

Due to the above, the Liquidator will not prepare the Company’s annual reports that include annual audited financial statements together with the auditors’ and directors’ reports for the financial year ended 31 December 2016 (“AFS 2016”), and any subsequent financial periods.

We draw attention to the announcement dated 20 October 2017, whereby a Notice of Application to set aside and/or stay the Winding Up which has been filed by Cheah Kwong Lee, a contributory of the Company, has been served to the Liquidator of the Company. In the event the application to set aside and/or stay the Winding Up is granted by the Court, the corporate powers of the Company and its Board of Directors will be restored. Accordingly, the Board of Directors would then need to comply with the listing requirements to furnish the Company’s annual reports that include AFS 2016.
