We refer to the Company’s announcements on public shareholding spread dated 11 March 2019 and 31 July 2019.

The Board of Directors of SECUREMETRIC wishes to announce the following Status Announcement on the compliance with the required public shareholding spread, in conjunction with the release of the Company’s quarterly results for the second quarter ended 30 June 2019, pursuant to Section 3.3 of Guidance Note 13 of the ACE Market Listing Requirements (“Listing Requirements”):

(a) The Company currently does not meet the requirement as set out in Rule 8.02(1) of the Listing Requirements which states that a listed issuer must ensure that at least 25% of its total listed shares (excluding treasury shares) are in the hands of public shareholders (“Public Spread Requirement”).

(b) Based on the Company’s Register of Depositors as at 16 August 2019, the public shareholding spread of the Company was at 23.81%. This percentage represents a shortfall of 1.19% from the Public Spread Requirement.

(c) Bursa Malaysia Securities Berhad (“Bursa Securities”) had vide their letter dated 29 July 2019 approved an extension of time from 11 March 2019 until 10 September 2019 to comply with the Public Spread Requirement. 

(d) The Company is still working on a plan to address the shortfall in the Public Spread Requirement.
